What is a Limited Liability Partnership (LLP)?
A Limited Liability Partnership (LLP) is a business registered under the Limited Liability Partnership Act, 2008. It combines the flexibility of a partnership with the limited liability of a company: each partner's liability is limited to their agreed contribution, and the LLP is a separate legal entity.
An LLP suits professionals, consultants, agencies, family businesses and small firms that want legal protection and credibility without the heavier compliance of a Private Limited Company. Partners run the business together under an LLP Agreement that sets out their capital, profit share, roles and rights.
An LLP can own property, open bank accounts, sign contracts and sue in its own name. One partner is not responsible for another partner's misconduct, and the LLP continues even when partners change.
Registration is done online on the MCA portal: first the name through RUN-LLP, then incorporation through the FiLLiP form, which also gets the LLP its PAN and TAN. Once approved, the Registrar issues a Certificate of Incorporation with a unique LLP Identification Number (LLPIN). The LLP Agreement is then filed in Form 3 within 30 days.
Benefits of LLP registration
Limited liability
Each partner's liability is limited to their agreed contribution. Personal assets are protected from the LLP's debts.
Separate legal entity
The LLP owns assets, signs contracts and holds bank accounts in its own name, separate from the partners.
Lower compliance cost
Two main annual MCA filings. Audit is needed only when turnover crosses ₹40 lakh or contribution crosses ₹25 lakh.
Flexible management
Partners decide roles, profit sharing and decision-making in the LLP Agreement, with no board meetings or AGMs required.
Perpetual succession
The LLP continues even if partners join, leave or pass away, unlike a traditional partnership firm.
Tax-efficient profit sharing
Partners' share of profit is not taxed again in their hands, and there is no dividend tax on distributing profits.

WhatsApp APILLP registration: frequently asked questions
What is the cost of LLP registration in India?+
The total cost has three parts: our professional fee (from ₹2,499 + GST), MCA fees (₹200 for RUN-LLP, plus FiLLiP and Form 3 fees based on contribution: ₹550 together for up to ₹1 lakh), and stamp duty on the LLP Agreement, which depends on your state (from ₹100 to about ₹5,000 for ₹1 lakh contribution). Use the state-wise calculator on this page to see your exact total.
How long does LLP registration take?+
Usually 10–15 working days, if documents are ready and the Registrar doesn't raise a query. DSCs take 1–2 days, name approval 2–4 days, and FiLLiP approval another 5–7 days. The LLP Agreement is then filed in Form 3 within 30 days of incorporation.
How many partners are needed to start an LLP?+
At least 2 partners, of whom at least 2 must be designated partners (individuals). There is no upper limit on the number of partners. At least one designated partner must be resident in India.
What is the difference between a partner and a designated partner?+
Every LLP member is a partner. Designated partners are the partners responsible for the LLP's legal compliance, such as filing returns and documents with MCA. They must be individuals and hold a DPIN (DIN). An LLP needs at least two designated partners.
Is there a minimum capital requirement for an LLP?+
No. An LLP can be started with any amount of capital contribution. Contribution can be in cash, property or services, as agreed in the LLP Agreement. A lower contribution also keeps MCA fees and, in many states, stamp duty low.
Is the LLP Agreement mandatory?+
Yes, it must be filed in Form 3 within 30 days of incorporation. Late filing attracts additional fees that increase with the delay. If there is no agreement, the default rules in the First Schedule of the LLP Act apply, including equal sharing of profits and losses.
Can a company or a foreign national be a partner in an LLP?+
Yes. A company, another LLP or a foreign national can be a partner. A body corporate acts through a nominee. Foreign investment in an LLP is allowed under the automatic route in sectors where 100% FDI is allowed automatically for companies and there are no FDI-linked performance conditions. At least one designated partner must be resident in India.
Who needs an audit in an LLP?+
Accounts must be audited only if the LLP's turnover exceeds ₹40 lakh or its contribution exceeds ₹25 lakh in a financial year. Below these limits, the designated partners certify the accounts. Tax audit applies separately under the Income-tax Act.
What are the annual filings for an LLP?+
Form 11 (annual return) by 30 May, Form 8 (statement of account and solvency) by 30 October, and the income tax return (ITR-5) by 31 August, or 31 October if audited. Designated partners also file DIR-3 KYC once every three years. Late MCA filings attract additional fees that rise with the delay, and a delayed Form 11 can also lead to penalties.
How is an LLP taxed?+
An LLP pays income tax at a flat 30%, plus a 12% surcharge if income exceeds ₹1 crore and 4% cess. Partners' share of profit is not taxed again in their hands. Interest on capital up to 12% a year and partner remuneration within limits are deductible for the LLP.
Can an LLP raise funding from investors?+
An LLP has no shares, so it cannot issue equity or ESOPs the way a company can. Investors can join as partners, but most venture capital funds prefer a Private Limited Company. If you plan to raise funding, consider a Pvt Ltd company, or convert the LLP later.
Can an LLP be converted into a Private Limited Company?+
Yes. An LLP can convert into a company under the Companies Act, 2013. A partnership firm or a private or unlisted public company can also convert into an LLP.
Can I use my home address as the registered office?+
Yes. A residential address can be the LLP's registered office. You need a recent utility bill (not older than 2 months) and a No Objection Certificate from the owner.
How long is an approved LLP name reserved?+
A name approved through RUN-LLP is reserved for 90 days, during which the FiLLiP incorporation form must be filed.
Is GST registration mandatory for an LLP?+
Not automatically. GST is compulsory once turnover crosses ₹40 lakh for goods or ₹20 lakh for services (lower in some states), or for inter-state supply of goods and most e-commerce sales. GST registration is included in our Standard and Premium plans.
What will I receive after LLP registration?+
You receive the Certificate of Incorporation with LLPIN, the LLP's PAN and TAN, DSCs and DPINs for designated partners, and the drafted LLP Agreement filed in Form 3. Depending on your plan, you also get GST, Udyam, trademark filing and a business website.
