What is a Private Limited Company?
A Private Limited Company is a company registered under the Companies Act, 2013 (Section 2(68)) that restricts the transfer of its shares, has between 2 and 200 members, and cannot invite the public to buy its shares. Its owners' liability is limited to the unpaid amount on their shares.
It is the most popular business structure in India for startups and growing businesses. The company is a separate legal person: it can own property, open bank accounts, sign contracts, borrow money and sue in its own name. Your personal assets are protected if the business runs into debt.
Investors, banks and large clients prefer Pvt Ltd companies because ownership is clearly divided into shares, the books are audited every year, and filings are public on the MCA portal. If you plan to raise funding, give ESOPs to your team, or work with corporates and government tenders, a Private Limited Company is usually the right choice.
Registration is done online through the MCA's SPICe+ form. The same filing also gets you the company's PAN and TAN, and lets you apply for EPFO, ESIC and a bank account. Once approved, the Registrar of Companies issues a Certificate of Incorporation with a 21-digit Corporate Identification Number (CIN).
Benefits of registering a Private Limited Company
Limited liability
Shareholders only risk the money they put in. Personal savings, home and assets are protected from business debts.
Separate legal entity
The company owns assets, signs contracts and holds bank accounts in its own name, separate from its owners.
Easy to raise funds
Issue shares to angel investors and VCs, and offer ESOPs to employees. LLPs and proprietorships can't do this.
Perpetual succession
The company continues even if directors or shareholders change, leave or pass away.
Credibility and trust
"Pvt Ltd" signals a serious business to banks, clients, vendors and government departments. It helps with loans and tenders.
100% FDI allowed
Foreign nationals, NRIs and foreign companies can invest and become shareholders under the automatic route in most sectors.

WhatsApp APIPrivate Limited Company registration: frequently asked questions
What is the cost of Private Limited Company registration in India?+
The total cost has three parts: our professional fee (from ₹2,999 + GST), the MCA name reservation fee of ₹1,000, and state stamp duty on the MOA and AOA, which ranges from ₹0 in Sikkim to over ₹10,000 in Karnataka and Punjab for ₹1 lakh capital. The MCA registration fee is nil for authorised capital up to ₹15 lakh. Use the state-wise calculator on this page to see your exact total.
How long does it take to register a Private Limited Company?+
Usually 7–10 working days, if documents are ready and the Registrar doesn't raise a query. DSCs take 1–2 days, name approval 2–3 days, and the SPICe+ approval with Certificate of Incorporation another 3–5 days.
How many directors and shareholders are needed?+
A minimum of 2 directors and 2 shareholders. The same two people can be both directors and shareholders. A Pvt Ltd company can have up to 15 directors (more with a special resolution) and up to 200 members.
Is there a minimum capital requirement?+
No. There is no minimum paid-up capital for a Private Limited Company. Most startups choose ₹1 lakh authorised capital, which keeps stamp duty low. You can increase it later as the business grows.
What is the difference between authorised and paid-up capital?+
Authorised capital is the maximum value of shares the company can issue, as stated in the MOA. It decides the MCA fee and stamp duty. Paid-up capital is the amount shareholders have actually paid for the shares issued to them, which can be less than the authorised capital.
Can I use my home address as the registered office?+
Yes. A residential address can be the registered office. You need a recent utility bill (not older than 2 months) and a No Objection Certificate from the owner. If you don't have a permanent address at the time of filing, you can give a correspondence address and file INC-22 within 30 days.
Can a salaried person become a director?+
Yes, the Companies Act doesn't stop a salaried employee from being a director or shareholder. Check your employment contract first, as some employers restrict outside business interests.
Can NRIs or foreign nationals register a Private Limited Company in India?+
Yes. NRIs and foreign nationals can be directors and shareholders, and 100% FDI is allowed under the automatic route in most sectors. At least one director must be resident in India (stayed 182 days or more in the financial year). Foreign documents must be notarised and apostilled. Investors from countries that share a land border with India generally need government approval (small non-controlling stakes may be exempt under the 2026 changes).
What are DSC and DIN?+
A Digital Signature Certificate (DSC) is an electronic signature used to sign MCA forms. A Director Identification Number (DIN) is a unique number given to every company director. DIN for up to three directors is allotted through the SPICe+ form itself.
What is SPICe+?+
SPICe+ (INC-32) is the MCA's integrated web form for incorporating a company. Part A reserves the name; Part B covers incorporation, DIN, PAN, TAN, EPFO, ESIC, professional tax (in some states) and the bank account application, along with e-MOA (INC-33), e-AOA (INC-34) and AGILE-PRO-S (INC-35).
How long is the approved company name reserved?+
An approved name is reserved for 20 days for a new company. The incorporation form must be filed within this period, or the name lapses and has to be applied for again.
Is GST registration mandatory for a Private Limited Company?+
Not automatically. GST is compulsory once turnover crosses ₹40 lakh for goods or ₹20 lakh for services (lower limits in some states), or if you supply goods inter-state, and for most sales through e-commerce platforms. Many companies register voluntarily to claim input tax credit and work with large clients. GST registration is included in our Standard and Premium plans.
What is Form INC-20A and when is it due?+
INC-20A is the declaration of commencement of business. It must be filed within 180 days of incorporation, after shareholders deposit their subscription money in the company's bank account. Without it the company can't start business or borrow, and late filing attracts a penalty of ₹50,000 on the company plus ₹1,000 per day on officers (up to ₹1 lakh).
Is an audit required even if there is no business or turnover?+
Yes. Every Private Limited Company must get its accounts audited by a Chartered Accountant every year, regardless of turnover. The first auditor must be appointed by the board within 30 days of incorporation.
What annual compliance does a Private Limited Company have?+
Key yearly filings are the AGM, financial statements (AOC-4), annual return (MGT-7 or MGT-7A), income tax return (ITR-6), statutory audit, and DPT-3 where applicable. Directors also file DIR-3 KYC once every three years, plus GST and TDS returns if registered. Missing them leads to daily late fees and can disqualify directors.
Can a Private Limited Company be converted later?+
Yes. A Pvt Ltd can convert into a public limited company, and an LLP, partnership firm or OPC can convert into a Pvt Ltd. A company that wants to stop can also be closed through strike-off.
Can I register a company without visiting any office?+
Yes. The entire process is online. You share scanned documents, complete a short video KYC for your DSC, and receive the Certificate of Incorporation by email. No physical documents are needed for incorporation.
What will I receive after registration?+
You receive the Certificate of Incorporation with CIN, company PAN and TAN, MOA and AOA, DSCs and DINs for directors, and EPFO and ESIC registration. Depending on your plan, you also get GST, Udyam, share certificates, trademark filing and a business website.
