What is a society?
A society is an association of at least seven persons who come together for a literary, scientific, charitable, educational, cultural, sports or similar purpose and register under the Societies Registration Act, 1860 or their state's Societies Act. It is run by an elected governing body under its Memorandum and Rules.
Societies are a popular way to run NGOs, schools and colleges, hospitals, resident and professional associations, cultural and sports clubs, and research bodies. Unlike a trust, which is controlled by its trustees, a society is member-driven: members elect the governing body and decide major matters in general meetings.
Registration is with the state's Registrar of Societies. Many states have their own Act, such as the Karnataka Societies Registration Act, 1960, the Tamil Nadu Societies Registration Act, 1975 and the West Bengal Societies Registration Act, 1961, while others follow the 1860 Act with state amendments. In Maharashtra, a society with charitable objects is also registered as a public trust with the Charity Commissioner.
Once registered, the society gets its own PAN and bank account, and can apply to the Income Tax Department for registration as a non-profit (earlier Section 12A, now Section 332 of the Income-tax Act, 2025) and for approval so donors can claim deductions (earlier Section 80G, now Section 354).
Benefits of registering a society
Democratic and member-run
Members elect the governing body, so the society suits groups, associations and community organisations.
Tax exemption
Once registered with the Income Tax Department, income applied to its objects is exempt, and donors can claim deductions.
Grants and funding
Eligible for government grants, donations and, once eligible, CSR funds and foreign contributions.
Recognised identity
A registered society can open bank accounts, own property through its governing body, and sue or be sued in its name as its rules provide.
No minimum capital
No capital is needed. Members can contribute an admission or membership fee set in the rules.
Continuity
The society continues as members and office-bearers change, through elections set in the rules.
Requirements for society registration
These are the essentials. Exact rules vary by state, so we check your state's Act before drafting.
- 1At least 7 membersSeven or more persons under the 1860 Act; some states ask for more members or members from particular areas. Indian citizens, foreign nationals and companies can be members as the state allows.
- 2A governing bodyOffice-bearers such as President, Secretary and Treasurer, plus other committee members, chosen from the members.
- 3Lawful objectsLiterary, scientific, charitable, educational, cultural, religious, sports or similar objects, without a profit motive for members.
- 4Memorandum and RulesThe Memorandum of Association and the Rules and Regulations (bye-laws), signed by the founding members.
- 5A unique nameNot identical or too similar to an existing society, and not suggesting government patronage. Words such as National or Government need care. Check a name free.
- 6Registered officeAn address in the state, with an ownership or rent document, a recent utility bill and the owner's No Objection Certificate.
Planning to work across India? A society registered in one state can usually operate elsewhere, but some Registrars register "national" or "all-India" societies only with members from several states. The rules depend on the state where you register, and we advise on this before filing.
What goes into the Memorandum and Rules
These two documents are the society's constitution. Clear, state-compliant drafting avoids queries from the Registrar and problems with banks and income tax later.
Memorandum of Association
- Name of the society
- Registered office address
- Objects of the society, written clearly
- Names, addresses and occupations of the first governing body
- Signatures of the founding members, with witnesses
Rules and Regulations
- Membership: eligibility, admission, fees, rights and removal
- Governing body: composition, term, elections and powers
- Office-bearers and their duties
- General and governing body meetings, notice and quorum
- Bank accounts, signatories, accounts and audit
Tax-friendly clauses
- Income and property used only for the objects
- No profit or dividend to members
- Amendment of the Memorandum and Rules by special majority
- On dissolution, assets go to another society with similar objects, not to members

Tax exemption, CSR and FCRA for a society
Registration creates the society. These approvals decide how it can raise money and save tax.
Income tax registration
- Registration as a non-profit under Section 332 of the Income-tax Act, 2025 (earlier Section 12A/12AB)
- Income applied to its charitable objects becomes exempt
- New societies first get provisional registration for 3 years, then regular registration for 5 years
- Registrations held on 1 April 2026 carried over automatically
Donor deduction approval
- Approval under Section 354 of the Income-tax Act, 2025 (earlier Section 80G)
- Lets donors claim a tax deduction on their donations
- Donation receipts and an annual statement of donations are required
- Renewed along with the society's registration
CSR-1 and FCRA
- CSR-1 registration with MCA to receive CSR funds; independent societies generally need tax registration, donor approval and a 3-year track record
- FCRA registration for foreign contributions, generally after 3 years of activity and minimum spending on core work
- A new society can seek FCRA prior permission for a specific foreign donor and project
The Income-tax Act, 2025 replaced the 1961 Act from 1 April 2026; many people still use the old section names 12A and 80G. Tax rules change often; our CA team will advise on your case.
Society vs Trust vs Section 8 Company
All three can run an NGO and get the same income tax benefits. They differ in control, setup and compliance.
| Feature | Society | Trust | Section 8 Company |
|---|---|---|---|
| Law | Societies Registration Act, 1860 or state Acts | Registration Act, 1908, Indian Trusts Act or state public trust laws | Companies Act, 2013 |
| Registered with | Registrar of Societies | Sub-Registrar (and Charity Commissioner in some states) | Registrar of Companies (MCA) |
| Minimum people | 7 members (varies by state) | Settlor and 2 trustees | 2 directors and 2 members |
| Governing document | Memorandum and Rules | Trust deed | MOA and AOA, with a licence |
| Control | Elected governing body | Trustees, as per the deed | Board of directors |
| Changing objects or rules | By special majority, as per the Act | Only if the deed allows | Needs government approval |
| Time to register | About 3–8 weeks, varies by state | About 1–3 weeks | About 2–3 weeks |
| Compliance | Moderate | Lowest | Highest |
| Best for | Associations, clubs, schools and community groups | Founder- or family-led charities | Larger NGOs seeking CSR and institutional funding |
Want founders to keep control? A trust may suit you better. For CSR and large grants, consider a Section 8 Company.

WhatsApp APISociety registration: frequently asked questions
What is society registration?+
It is registering an association of at least seven persons, formed for literary, scientific, charitable, educational, cultural or similar purposes, with the state's Registrar of Societies under the Societies Registration Act, 1860 or the state's own Societies Act. The society then gets a Certificate of Registration.
How many members are needed to register a society?+
At least 7 under the Societies Registration Act, 1860. Some states set a higher number or other conditions, so we check your state's Act before filing.
Who can be a member of a society?+
Indian citizens, and in many states foreign nationals, companies and other registered bodies, can be members, as the state's Act and the society's Rules allow. Members should be adults who agree with the society's objects.
What is the cost of society registration?+
Our professional fee starts at ₹7,999 + GST for drafting and filing. Government fees are usually a few hundred to a couple of thousand rupees depending on the state, plus stamp paper and notary charges. Income tax registration and donor approval are included from our Standard plan.
How long does society registration take?+
Usually 3 to 8 weeks, depending on the state and the Registrar's office. Some Registrars verify the office or call members before issuing the certificate. Tax registrations take about 1 to 3 months more.
Can society registration be done online?+
Several states accept applications online, while others need a physical filing at the Registrar's office. Either way, we prepare the documents; members only need to sign, and the affidavit is notarised.
What is the Memorandum of Association of a society?+
It states the society's name, registered office, objects and the names, addresses and occupations of the first governing body, and is signed by the founding members. It's filed with the Rules and Regulations, which set out how the society is run.
Can a society work all over India?+
A society registered in one state can usually carry out activities in other states. Some Registrars register a society as national or all-India only if its members come from several states, so we check this for your state before filing.
Is a registered society exempt from income tax?+
Not automatically. It needs registration as a non-profit with the Income Tax Department, under Section 332 of the Income-tax Act, 2025 (earlier Section 12A/12AB). Then income applied to its charitable objects is exempt, subject to the conditions.
What happened to 12A and 80G registration for societies?+
The Income-tax Act, 2025 replaced the 1961 Act from 1 April 2026. Non-profit registration is now under Section 332 (earlier 12A/12AB) and donor-deduction approval under Section 354 (earlier 80G). Registrations valid on 1 April 2026 continue until they expire.
Can a society receive CSR funds?+
Yes, after registering with MCA in Form CSR-1. An independent society generally needs income tax registration, donor-deduction approval and a track record of at least 3 years in similar activities to act as a CSR implementing agency.
Can a society receive foreign donations?+
Only with FCRA registration or prior permission from the Ministry of Home Affairs. Registration generally needs at least 3 years of activity and minimum spending on core work; a new society can seek prior permission for a specific donor and project.
Who owns the property of a society?+
Under the Societies Registration Act, 1860, property not vested in trustees is treated as vested in the governing body. It can be used only for the society's objects, not for members' private benefit.
Can the Rules of a society be changed?+
Yes, by the majority set in the Rules or the state's Act, usually a special majority at a general meeting. Changes must be filed with the Registrar, and important changes should be reported to the Income Tax Department.
How is a society dissolved?+
Under the 1860 Act, a society can be dissolved if at least three-fifths of its members agree. After paying debts, its remaining property can't be paid to members; it goes to another society with similar objects, as decided by the members or the court.
Does a society need to renew its registration?+
It depends on the state. Some states, such as Uttar Pradesh, require renewal every 5 years. Separately, the society's income tax registration must be renewed before it expires.
What is the difference between a society and a trust?+
A society is formed by at least 7 members and run by an elected governing body, so it is democratic and member-driven. A trust is created by a settlor through a deed and run by trustees, so founders keep more control. Both can get the same income tax benefits.
What annual compliance does a society have?+
Hold the AGM and elections, file the list of the governing body (and accounts or returns where the state requires) with the Registrar, get accounts audited where required, file the non-profit income tax return and statement of donations, report changes in Rules or office, and renew registrations on time.
