What is DIN KYC (DIR-3 KYC)?
DIN KYC is the know-your-customer filing that every holder of a Director Identification Number (DIN) must submit to the Ministry of Corporate Affairs (MCA) in Form DIR-3 KYC Web. It confirms the director's identity, mobile number, email and address, so the MCA's director records stay accurate.
If the KYC isn't filed on time, the MCA system marks the DIN as "Deactivated due to non-filing of DIR-3 KYC". The person then can't be appointed as a director, and company filings that need their DIN, such as annual returns and financial statements, get stuck until the DIN is reactivated with a ₹5,000 fee.
Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014 was amended with effect from 31 March 2026. The yearly filing has been replaced by a three-year cycle, plus an update whenever contact details change.

What happens if DIN KYC isn't filed
A deactivated DIN blocks both the director and the company.
| Effect | What it means for you |
|---|---|
| DIN status | Marked "Deactivated due to non-filing of DIR-3 KYC" on the MCA portal |
| Appointments | The person can't be appointed or reappointed as a director |
| Company filings | Forms that need the director's DIN or DSC, like AOC-4 and MGT-7, are blocked |
| Reactivation | File DIR-3 KYC Web with ₹5,000 fee; the DIN becomes active once processed |
| Other companies | Every company where the person is a director is affected |
Check before annual filing season. Annual returns for FY 2025-26 are being filed now. If any director's DIN is deactivated, reactivate it first so AOC-4 and MGT-7 go through on time. See company annual filing.

What is DIN KYC?+
DIN KYC is the filing in Form DIR-3 KYC Web that every holder of a Director Identification Number submits to the MCA to confirm their identity, mobile number, email and address.
Is DIN KYC still required every year?+
No. From 31 March 2026, the amended Rule 12A requires DIN KYC once every three consecutive financial years, by 30 June after the third year, instead of every year.
When is my next DIN KYC due?+
If you filed DIN KYC in 2025 (for FY 2025-26), your next filing is due by 30 June 2028. If your DIN was allotted later, your first KYC falls in the first three-year cycle. We check your exact date on the MCA portal.
Do I need to file if my mobile number, email or address changes?+
Yes. Under the new rules, any change in your personal mobile number, email address or residential address must be filed within 30 days of the change, with your DSC and certification by a practising CA, CS or CMA.
What is the fee for DIN KYC?+
Triennial KYC filed on time has no government fee. If the deadline is missed, the DIN is deactivated and a fee of ₹5,000 applies to reactivate it. Detail updates attract the fee prescribed by the MCA. Our professional fee starts at ₹499 + GST per director.
What happens if I don't file DIN KYC?+
The DIN is marked 'Deactivated due to non-filing of DIR-3 KYC'. You can't be appointed as a director, and company filings that need your DIN, such as annual returns, are blocked until it is reactivated.
How do I reactivate a deactivated DIN?+
File Form DIR-3 KYC Web with the ₹5,000 fee and your current details. Once processed, the DIN becomes active again. We usually file the same day.
Do I need DIN KYC if I'm not a director of any company now?+
Yes. Every person holding a DIN on 31 March of a financial year must file, whether or not they are currently a director. If you no longer need the DIN, you can apply to surrender it.
Do designated partners of an LLP need DIN KYC?+
Yes. Designated partners who hold a DIN must file DIN KYC like company directors.
Do disqualified directors need to file DIN KYC?+
Yes. Disqualification doesn't remove the KYC requirement. Filing keeps the DIN record active.
Is a DSC required for DIN KYC?+
Yes. The form is signed with the director's own valid Class 3 Digital Signature Certificate. If you don't have one, we can issue it quickly.
Why are OTPs needed?+
The MCA sends OTPs to the director's personal mobile number and email to verify them. They must be the director's own, not the company's or a consultant's.
Can two directors use the same mobile number or email?+
No. Each DIN holder must give a unique personal mobile number and email address.
What documents do foreign directors need?+
A passport is mandatory, along with overseas address proof and a valid DSC. Documents may need to be apostilled or notarised, depending on the country.
Is professional certification needed for DIN KYC?+
Under the new rules, detail-change filings require certification by a practising Chartered Accountant, Company Secretary or Cost Accountant. We arrange it as part of our update plan.
How long does DIN KYC take?+
The filing itself is usually completed the same day once we have the documents, OTPs and DSC. Reactivation shows on the MCA portal once the form is processed.
What was the old DIN KYC due date?+
Until FY 2025-26, DIN KYC was filed every year by 30 September. That annual requirement ended with the amendment effective 31 March 2026.
Can a company file DIN KYC for all its directors together?+
Each director files separately with their own OTPs and DSC, but we can handle all your directors together in one go.
