What is a One Person Company (OPC)?
A One Person Company (OPC) is a company with only one member, defined in Section 2(62) of the Companies Act, 2013. It gives a single founder the limited liability and separate legal identity of a private limited company, without needing a second shareholder.
Before OPCs existed, a solo business owner could only run a sole proprietorship, where the owner is personally liable for every business debt. An OPC solves this: the company is a separate legal person, so your personal savings and property are protected.
When registering, the owner names a nominee, who would become the member if the owner dies or can't continue. The nominee's written consent is filed in Form INC-3. The company's name ends with "(OPC) Private Limited".
Compliance is lighter than a regular private company: there is no Annual General Meeting, fewer board meetings and no cash flow statement. Since 2021 there is also no paid-up capital or turnover limit, and an OPC can convert into a Private Limited Company whenever the business is ready to add partners or investors.
Benefits of One Person Company registration
Full control, one owner
Own 100% of the company and make every decision yourself. No partner or second shareholder needed.
Limited liability
Your liability is limited to your share capital. Personal assets are protected from business debts, unlike a proprietorship.
Credibility of a company
"(OPC) Private Limited" builds trust with banks, clients and government departments, and helps with loans and tenders.
Lighter compliance
No AGM, only two board meetings a year (none if you're the sole director), and no cash flow statement.
Continuity with a nominee
Your nominee steps in if anything happens to you, so the business carries on.
Easy to grow later
Convert into a Private Limited Company at any time to bring in co-founders or investors.

WhatsApp APIOne Person Company registration: frequently asked questions
What is the cost of One Person Company registration?+
The total cost has three parts: our professional fee (from ₹2,499 + GST), the MCA name reservation fee of ₹1,000, and state stamp duty on the MOA and AOA, which ranges from ₹0 in Sikkim to over ₹10,000 in Karnataka and Punjab for ₹1 lakh capital. The MCA registration fee is nil for authorised capital up to ₹15 lakh. Use the state-wise calculator on this page to see your exact total.
Who can start a One Person Company?+
Only a natural person who is an Indian citizen, whether living in India or abroad (NRI), can form an OPC. Foreign nationals, companies and LLPs cannot be members of an OPC.
Who can be the nominee of an OPC?+
The nominee must also be a natural person and an Indian citizen. Their written consent is filed in Form INC-3 along with the incorporation form. Most owners choose a family member. The nominee can be changed later: the company files Form INC-4 with the Registrar within 30 days, with the new nominee's consent.
Can I be the only director of my OPC?+
Yes. An OPC needs at least one director, and the owner can be that director. You can appoint up to 15 directors. At least one director must have stayed in India for 182 days or more in the financial year, so an NRI owner who stays in India less than that should add a resident director.
Is there a limit on capital or turnover for an OPC?+
No. The earlier limits of ₹50 lakh paid-up capital and ₹2 crore turnover, which forced conversion into a private company, were removed from 1 April 2021. There is also no minimum capital requirement.
Can one person own more than one OPC?+
No. A person can be a member of only one OPC at a time, and a nominee in only one OPC at a time.
How long does OPC registration take?+
Usually 7–10 working days, if documents are ready and the Registrar doesn't raise a query. The DSC takes 1–2 days, name approval 2–3 days, and SPICe+ approval with the Certificate of Incorporation another 3–5 days.
Does an OPC need to hold an Annual General Meeting?+
No. An OPC is exempt from holding an AGM. If it has more than one director, it must hold at least one board meeting in each half of the calendar year, at least 90 days apart. If the owner is the only director, board meetings aren't required.
What are the annual filings for an OPC?+
The main yearly filings are financial statements in AOC-4 (within 180 days of the end of the financial year), the annual return in MGT-7A (by 28/29 November), the income tax return (ITR-6) and the statutory audit. Directors file DIR-3 KYC once every three years, and DPT-3 is filed where applicable.
Is an audit required for an OPC?+
Yes. Like every company, an OPC must get its accounts audited by a Chartered Accountant every year, even with no turnover. It doesn't need to prepare a cash flow statement.
How is an OPC taxed?+
An OPC is taxed as a domestic company: 22% under the concessional regime (about 25.17% effective), or 25% / 30% under the regular regime depending on turnover, plus surcharge and cess. The owner pays tax separately on salary or dividends received from the OPC.
Can an OPC be converted into a Private Limited Company?+
Yes, at any time. Since 2021 an OPC can voluntarily convert into a private or public company without waiting two years. You add at least one more member and director, and file the conversion with MCA.
What happens to the OPC if the owner dies?+
The nominee becomes the member of the OPC. The company continues, and the new member must name a new nominee within 15 days.
Can an OPC raise funds from investors?+
An OPC can't issue shares to outside investors while it stays an OPC, because it can only have one member. To raise equity funding or give ESOPs, convert it into a Private Limited Company first. It can take loans from banks and financial institutions.
Which businesses can't be run as an OPC?+
An OPC can't carry out non-banking financial investment activities, including investing in securities of other companies, and can't be incorporated or converted as a Section 8 (non-profit) company.
What will I receive after OPC registration?+
You receive the Certificate of Incorporation with CIN, company PAN and TAN, MOA and AOA, your DSC and DIN, and EPFO and ESIC registration. Depending on your plan, you also get GST, Udyam, a share certificate, trademark filing and a business website.
