Overview

What is a partnership firm?

A partnership firm is a business owned by two or more people who agree to share its profits, governed by the Indian Partnership Act, 1932. The partners set out their capital, profit share and roles in a Partnership Deed.

It is one of the simplest and lowest-cost ways for two or more people to run a business together. It suits family businesses, traders, shops, small manufacturers and professional practices that want to start quickly without the compliance of a company or LLP.

A firm can work with just a signed Partnership Deed and a PAN, but registering it with the Registrar of Firms of your state is strongly recommended. Under Section 69 of the Act, an unregistered firm and its partners can't file a court case against third parties to enforce the firm's contracts. Many banks and government departments also ask for the registration certificate.

Keep in mind that a partnership firm is not a separate legal entity and partners have unlimited liability: each partner can be personally responsible for the firm's debts. If you want limited liability, consider an LLP instead.

Benefits

Benefits of a registered partnership firm

Quick & low cost to start

No MCA filings or incorporation fees. A deed, stamp duty and PAN are enough to begin, with registration alongside.

Minimal compliance

No annual ROC returns, no board meetings and no compulsory company audit. Mainly income tax and GST filings.

Shared skills & capital

Partners pool money, skills and contacts, and share work and risk as agreed in the deed.

Legal rights when registered

A registered firm can sue third parties to enforce contracts and can claim set-off, which an unregistered firm can't.

Flexible to run

Partners decide profit sharing, roles, salaries and decision-making themselves, and can change the deed later.

Easy to convert later

A firm can be converted into an LLP or a private limited company as the business grows.

Partnership firm registration: frequently asked questions

What is the cost of partnership firm registration?

The total cost has three parts: our professional fee (from ₹1,499 + GST), stamp duty on the Partnership Deed, which depends on your state (from ₹100 to about ₹5,000 for ₹1 lakh capital), and a small Registrar of Firms fee plus notary charges that vary by state. Use the state-wise calculator on this page to see your cost.

Is registration of a partnership firm mandatory?

Registration with the Registrar of Firms is optional under the Indian Partnership Act, 1932, but strongly recommended. Under Section 69, an unregistered firm and its partners can't sue third parties to enforce the firm's contracts or claim set-off. Banks and government departments also often ask for the registration certificate.

How many partners are needed to start a partnership firm?

At least 2 partners. A partnership firm can have up to 50 partners. A minor can't be a full partner but can be admitted to the benefits of the partnership with all partners' consent.

Is there a minimum capital requirement?

No. Partners can start with any amount of capital they agree on in the deed. In some states, the stamp duty on the deed depends on the total capital.

Is the Partnership Deed mandatory?

A partnership can legally be formed orally, but a written deed is needed in practice to get the firm's PAN, open a bank account, register with the Registrar of Firms and avoid disputes. Where the deed is silent, the default rules of the Act apply, such as equal profit sharing, no salary for partners and no interest on capital.

Does the Partnership Deed need to be on stamp paper and notarised?

Yes. The deed must be executed on stamp paper (or e-stamp) of the correct value for your state, signed by all partners and usually notarised. We arrange the e-stamp and guide you through signing.

How long does it take to register a partnership firm?

The deed and PAN are usually ready in 3–7 working days, so you can start business and open a bank account. Registration with the Registrar of Firms typically takes 2–4 weeks, depending on the state.

Are partners personally liable for the firm's debts?

Yes. Partners have unlimited liability, jointly and severally. If the firm can't pay its debts, creditors can recover from partners' personal assets. If you want to limit liability, consider registering an LLP instead.

How is a partnership firm taxed?

A partnership firm pays income tax at a flat 30%, plus a 12% surcharge if income exceeds ₹1 crore and 4% cess. Partners' share of profit is not taxed again in their hands. Interest on capital up to 12% a year and partner remuneration within limits are deductible if the deed allows them.

Is TDS deducted on payments to partners?

Yes. From 1 April 2025, a firm must deduct 10% TDS on salary, remuneration, commission, bonus or interest paid to a partner when the total exceeds ₹20,000 in a financial year. Share of profit is not covered.

What annual compliance does a partnership firm have?

There are no MCA filings. The main yearly requirement is the income tax return in ITR-5, plus a tax audit if turnover crosses the limits. If registered under GST, the firm files GST returns, and it files TDS returns where applicable.

Can a partnership firm get GST registration and open a bank account?

Yes. With the Partnership Deed and the firm's PAN, the firm can open a current account and apply for GST. GST registration is included in our Standard and Premium plans.

Can a partnership firm be converted into an LLP or company?

Yes. A partnership firm can be converted into an LLP under the LLP Act, or into a private limited company under the Companies Act. Conversion gives the business limited liability and a separate legal identity.

Can we change partners or the deed later?

Yes. Partners can be added, retire or change their profit share through a supplementary deed. For a registered firm, the change must also be reported to the Registrar of Firms.

Can a partnership firm get Startup India (DPIIT) recognition?

Yes. A registered partnership firm can apply for DPIIT recognition if it meets the conditions, such as being less than 10 years old, turnover up to ₹200 crore in any year (₹300 crore and 20 years for deep-tech), and working on innovation or improvement of products or services.

What will I receive?

You receive a professionally drafted Partnership Deed on stamp paper, the firm's PAN (and TAN if needed), and in the Standard and Premium plans the Registrar of Firms registration and certificate, GST and Udyam registration.
